Terms of Use

Effective date: August 22, 2026

These Terms of Use (“Terms”) govern your access to and use of Girderly (the “Service”), a Google Workspace (Gmail™) add-on provided by Girderly LLC (“we,” “us”). By installing or using Girderly, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

Girderly displays information from your JobTread™ account inside Gmail. It resolves the sender of an open email to a JobTread contact and shows related contact, job, status, and financial information, and can create and update records in JobTread at your direction. Girderly accesses JobTread using an authorization you grant through JobTread’s own authorization screen (OAuth).

2. Your JobTread account and authorization

You are responsible for maintaining a valid JobTread subscription with API access and for the authorization you grant to Girderly. You are responsible for all activity performed through Girderly under your authorization and for complying with JobTread’s own terms of service. You may revoke Girderly’s authorization at any time from your JobTread profile under Grants.

3. Your JobTread data

Girderly does not own your JobTread data. Your JobTread information remains yours and stays in your JobTread and Google accounts; Girderly accesses it only at your direction, using the authorization you grant, to display it to you and to make the changes you request. Girderly claims no ownership of your JobTread data or of the JobTread service, which is governed by your separate agreement with JobTread.

4. License

Subject to these Terms and any applicable fees, Girderly LLC grants you a limited, non-exclusive, non-transferable, revocable license to use Girderly for your internal business purposes. You may not copy, modify, reverse engineer, resell, or sublicense the Service except as permitted by law.

5. Acceptable use

You agree not to use Girderly to violate any law or infringe any right, or in any manner prohibited by these Terms. You will not: damage, disable, overburden, or impair the Service or interfere with any other party’s use of it; attempt to gain unauthorized access to any system, account, or data; or obtain or attempt to obtain data through any means not intentionally made available by the Service, including scraping, crawling, or automated extraction — whether of the Service or of any connected service (such as JobTread) beyond the add-on’s intended functionality. You will only access data you are authorized to access.

6. Fees and subscription

Plans and pricing. Girderly is offered on a per-seat subscription. Current pricing is US$10 per user per month (monthly plan) or US$96 per user per year (annual plan). A “seat” licenses one individual user, identified by the email address of the Google account used with Girderly; each person who uses Girderly requires a seat. Prices are in U.S. dollars and exclusive of taxes.

Free trial. Girderly offers a 7-day free trial, limited to one trial per user. The trial does not renew or extend into another trial. If you subscribe, your paid subscription and your first charge begin when you complete checkout.

Billing and merchant of record. Subscriptions are sold and processed through our third-party merchant of record, Polar, which handles payment processing and, where applicable, collects and remits sales tax and VAT. By subscribing, you authorize recurring charges to your selected payment method through the merchant of record.

Automatic renewal — please read. YOUR SUBSCRIPTION AUTOMATICALLY RENEWS. Unless you cancel before the end of the then-current billing period, your subscription will automatically renew for successive periods of the same length (monthly or annual), and your payment method will be charged the then-current fees for each renewal term. We will provide any advance renewal reminder or notice required by applicable law.

Cancellation. You may cancel at any time through your account or by contacting support@girderly.com. Cancellation takes effect at the end of the current billing period; you keep access until then, and cancelling stops future renewals.

Refunds. Except where required by applicable law, fees are non-refundable, and cancelling does not entitle you to a refund of amounts already charged for the current period.

Taxes. Fees are exclusive of taxes. You are responsible for applicable sales, use, VAT, GST, and similar taxes, which the merchant of record may calculate and collect at checkout.

Changes to fees. We may change our fees or plans. Changes to recurring fees apply to renewal terms after we provide any notice required by applicable law; your continued use after a change takes effect is acceptance.

Fair use / anti-abuse. Trials and seats are for genuine individual use. Creating multiple accounts or seats to evade the trial limit, the number of seats purchased, or applicable fees is a violation of these Terms.

7. Intellectual property

Girderly LLC and its licensors own all rights in Girderly, including its software, design, and trademarks. These Terms grant you no rights in Girderly other than the limited license above. “JobTread,” “Gmail,” and other third-party marks are the property of their respective owners.

8. Feedback

If you provide us with feedback, suggestions, or ideas about Girderly, you grant Girderly LLC a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use and incorporate that feedback into the Service without restriction or obligation to you.

9. Third-party services and links

The Service works with third-party services (including JobTread and Google Workspace) and may link to third-party sites we do not control. We are not responsible for the content, policies, or practices of any third-party service or linked site, and their terms and policies govern your use of them. Where you use functionality that depends on a third-party provider, you consent to our sharing the data necessary to provide that functionality with that provider. Girderly LLC does not guarantee the availability of any third-party service.

10. Privacy

Your use of Girderly and the Girderly website is also governed by our Privacy Policy at girderly.com/privacy, which is incorporated into these Terms by reference and describes how we handle information in both the Girderly add-on and the Girderly website.

11. Electronic communications

By using Girderly or contacting us, you consent to receive communications from us electronically — by email and through the Service — and you agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Girderly LLC does not warrant that the Service will be uninterrupted or error-free, or that displayed data will be accurate or current. If you are dissatisfied with the Service or with these Terms, your sole and exclusive remedy is to stop using the Service.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIRDERLY LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL. Girderly LLC’s total liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid for the Service in the twelve months before the claim, or (b) US$100. Because some jurisdictions do not allow the exclusion or limitation of certain damages, some of the above may not apply to you.

14. Indemnification

You will indemnify and hold harmless Girderly LLC from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your data, or your violation of these Terms or any law or third-party right.

15. Termination

You may stop using Girderly and uninstall it at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Service. Uninstalling removes Girderly’s access and clears the JobTread connection credential stored in your Google account. You can also revoke Girderly’s authorization at any time from your JobTread profile under Grants.

16. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, financing, or sale of assets.

17. No waiver

Our failure to enforce any provision of these Terms is not a waiver of that or any other provision.

18. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

19. No agency

No joint venture, partnership, employment, or agency relationship exists between you and Girderly LLC as a result of these Terms or your use of the Service.

20. Survival

The sections on the license limits, your JobTread authorization responsibilities, your JobTread data, intellectual property, the Feedback license, disclaimers, limitation of liability, indemnification, and governing law survive termination of these Terms.

21. Entire agreement

These Terms, together with the Privacy Policy and any terms presented to you at the point of purchase, are the entire agreement between you and Girderly LLC regarding the Service and supersede all prior or contemporaneous communications and proposals.

22. Changes to these Terms

We may update these Terms from time to time. The most current version will supersede prior versions; material changes will be reflected by updating the effective date above and, where appropriate, by notice. Your continued use of the Service after changes take effect constitutes acceptance.

23. International users

Girderly is operated by Girderly LLC from the United States, and the information it handles is processed in the United States. We make no representation that the Service is appropriate or available for use in all locations. If you access or use the Service from outside the United States, you do so on your own initiative and are responsible for compliance with your local laws, and you agree not to use the Service where prohibited. Nothing in these Terms limits any mandatory consumer-protection rights you may have under the laws of your country of residence that cannot be waived by agreement.

24. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Travis County, Texas. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. If you are a consumer resident outside the United States, this governing-law and venue provision does not deprive you of the protection of mandatory provisions of the law of your country of residence.
